Terms of Service

1. Who we are and what Penny is
Penny is a software service operated by HiFriendbot ("we", "us"). Penny lets a merchant ("you") accept cryptocurrency payments from your customers. When a customer pays, the funds move directly from the customer's wallet to a wallet address that you control. Penny watches the public blockchain to confirm that the payment arrived and tells you when it did.
Penny is non-custodial. We never hold, receive, forward, convert, or control your funds or your customers' funds at any point. We never hold a private key for any wallet you register. We provide software and information, not money transmission, banking, custody, exchange, or escrow.
2. Your account
You must be at least 18 years old and able to enter a binding contract. You are responsible for keeping your password, API keys, and webhook secret confidential and for every action taken with them. Tell us immediately at [email protected] if you believe your account has been accessed without your permission.
You are responsible for the accuracy of every wallet address you register. Payments sent to a wallet you registered are final. We cannot reverse, recover, or redirect them, because we never control them.
3. Fees
Creating an account is free. We charge a percentage fee on completed sales, shown in your dashboard and in the documentation. Fees are billed to you after your customer's payment has already settled in your wallet. Fee balances become payable when they reach the settlement threshold or age shown in your dashboard. If a fee balance remains unpaid after the grace period, new checkouts on your account pause until it is paid. Payments already in progress always complete.
Prepaid credit purchased through Penny may only be applied to Penny fees. It is not a deposit, is not transferable, is not redeemable for cash or cryptocurrency, and is not refundable except where required by law.
4. How payments are confirmed
Penny reports a payment as confirmed once the transaction has reached the number of network confirmations we require for that coin, published in the documentation. Until then a payment may be reported as "seen". You decide when to fulfill an order; we recommend fulfilling only on confirmation. Blockchain networks, wallets, and the public data providers we read from are operated by third parties, and we do not control their availability, speed, or accuracy.
Every order is quoted a specific amount. A customer who sends less than the tolerance published in the documentation has underpaid and the order does not confirm. A customer who sends more has overpaid to your wallet; any adjustment between you and your customer is your responsibility.
5. Refunds, disputes, and chargebacks
Cryptocurrency payments have no chargeback mechanism. Refunds, if you choose to offer them, are made by you, from your own wallet, to your customer, outside Penny. Disputes between you and your customers are between you and your customers. We are not a party to the sale.
6. Your obligations
You are solely responsible for your business, your products, your customers, and your compliance with every law that applies to you, including tax, consumer protection, sanctions, and licensing laws in every place you operate or sell. Use of Penny must comply with our Acceptable Use Policy, which is part of these terms. We may pause or close an account that violates it. Pausing an account never affects funds, because we never hold any.
7. The service is provided as is
Penny is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that payment detection will be instantaneous. Cryptocurrency prices change constantly; the exchange rate shown to a customer is a quote we obtain from third-party sources at that moment, and we make no representation about it.
8. Limitation of liability
To the fullest extent permitted by law, HiFriendbot and its owners, employees, and contractors are not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost funds, or lost data, arising from or related to the service, even if advised of the possibility. Our total liability to you for any claim arising from the service is limited to the fees you paid us in the three months before the claim arose.
9. Indemnity
You agree to defend and indemnify HiFriendbot against claims, losses, and expenses, including reasonable legal fees, arising from your use of the service, your business, your products, or your violation of these terms or of any law.
10. Changes and termination
We may update these terms; the effective date at the top will change and continued use after that date is acceptance. You may close your account at any time from the dashboard or by email. We may suspend or close accounts that violate these terms. Sections 3, 5, 7, 8, 9, and 11 survive termination.
11. Governing law
These terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Michigan, and you consent to their jurisdiction.
